Zonloty Terms & Conditions

By creating an account, clicking to accept, purchasing credits, accessing reports, or otherwise using Zonloty, you agree to these Terms and any policies or notices incorporated by reference. If you do not agree, do not use Zonloty.

If you use Zonloty on behalf of a company, fund, brokerage, development entity, or other organization, you represent that you have authority to bind that organization to these Terms.

You must provide accurate registration information, maintain the security of your account credentials, and promptly notify Zonloty of unauthorized use or suspected compromise. You are responsible for all activity that occurs under your account.

Zonloty may suspend, restrict, or terminate access if account information is inaccurate, access appears unauthorized, or your use creates legal, operational, security, fraud, or compliance risk.

Zonloty provides software tools that help users gather, organize, summarize, and interpret zoning-related information from public and third-party sources. Reports may include AI-generated analysis, inferred commentary, workflow recommendations, and generalized development observations.

Zonloty does not make parcel-specific determinations, official zoning determinations, permitting decisions, engineering conclusions, title conclusions, valuation conclusions, environmental conclusions, or legal conclusions, and no output should be interpreted as any of those.

Zonloty is not a substitute for licensed legal counsel, zoning counsel, land-use counsel, civil engineers, architects, surveyors, appraisers, brokers, tax advisers, accountants, or investment advisers. Nothing in Zonloty constitutes legal advice, legal opinion, engineering advice, surveying advice, brokerage advice, tax advice, or investment advice.

No attorney-client, adviser-client, fiduciary, agency, brokerage, or other professional relationship is created between you and Zonloty by use of the service.

You agree that before making any investment, acquisition, entitlement, underwriting, marketing, financing, design, construction, permitting, leasing, brokerage, or other real-estate-related decision, you will independently verify all relevant facts with official municipal, county, state, or federal sources and with qualified professionals.

Required verification includes, without limitation: zoning district boundaries, overlay applicability, permitted and conditional uses, dimensional standards, setback interpretations, parking calculations, recent amendments, board procedures, timelines, filing requirements, environmental constraints, utility assumptions, and all parcel-specific conditions.

You assume all risk of reliance on Zonloty outputs, whether that reliance is direct, indirect, partial, preliminary, internal, client-facing, marketing-related, transactional, or operational.

Zonloty may use artificial intelligence, automated extraction tools, geocoding services, municipal websites, public records, and third-party sources. These sources may contain omissions, ambiguities, parsing errors, formatting errors, stale data, broken links, inaccessible documents, missing maps, inaccurate OCR, and inconsistent terminology.

AI outputs may contain mistakes, incomplete reasoning, incorrect classifications, unsupported inferences, or overly broad summaries. Zonloty does not guarantee that any output is complete, accurate, current, legally sufficient, enforceable, parcel-specific, or fit for your intended use.

Third-party data providers, municipal sites, and public datasets are outside Zonloty's control. Zonloty is not responsible for third-party data quality, availability, licensing changes, outages, or content decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONLOTY IS PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

ZONLOTY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, SYSTEM INTEGRATION, DATA ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, SECURITY, UNINTERRUPTED ACCESS, ERROR-FREE PERFORMANCE, AND RESULTS EXPECTED FROM USE OF THE SERVICE.

You may not misuse Zonloty, interfere with its operation, reverse engineer protected parts of the service, scrape it at scale without authorization, use it to build a competing product, bypass access controls, resell outputs in violation of these Terms, or use Zonloty in a deceptive, unlawful, infringing, fraudulent, defamatory, discriminatory, or harmful way.

You may not present Zonloty outputs as official determinations, legal opinions, or verified municipal conclusions unless they have been separately validated by qualified professionals and authoritative sources.

You represent that you have the right to submit any prompts, project details, deal information, attachments, or other content you provide to Zonloty, and that doing so does not violate law, contract, confidentiality obligations, privacy rights, or third-party rights.

You remain responsible for all content you submit and for all uses you make of generated outputs, reports, exports, screenshots, printed materials, and derivative analyses.

Purchases of credits, packs, or other paid access grant only the right to use the service subject to these Terms. Purchase of access does not guarantee any specific report quality, data depth, development feasibility, investment result, municipal outcome, entitlement result, permit issuance, or transaction success.

Unless required by law, payments are non-refundable once credits are delivered or consumed, and pricing, packaging, and service availability may change at any time.

Zonloty and its service design, workflows, branding, software, prompts, models, interfaces, and non-user content are owned by Zonloty or its licensors and protected by intellectual property law. Subject to these Terms, Zonloty grants you a limited, non-exclusive, non-transferable, revocable license to use the service for your internal lawful business or personal use.

Except as expressly allowed, you may not reproduce, publish, distribute, sublicense, frame, mirror, or commercially exploit the service itself.

You knowingly and voluntarily assume all risk arising from use of Zonloty in connection with real estate, development, acquisition, brokerage, consulting, underwriting, construction, financing, lending, entitlement, and any other business or personal activity.

To the fullest extent permitted by law, you release Zonloty and its operators from claims arising from your reliance on outputs, your failure to verify information, third-party data issues, municipal changes, government action or inaction, or project losses of any kind.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONLOTY AND ITS FOUNDERS, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, DATA PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, DEAL FAILURE, PROJECT DELAY, FINANCING LOSS, LOST OPPORTUNITY, REGULATORY COST, OR COST OF COVER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ZONLOTY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ZONLOTY IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

These limitations apply regardless of theory of liability, including contract, tort, negligence, strict liability, statute, restitution, or otherwise, and even if any limited remedy fails of its essential purpose.

You agree to defend, indemnify, and hold harmless Zonloty and its founders, owners, officers, directors, employees, contractors, affiliates, licensors, data providers, and agents from and against any and all claims, demands, actions, investigations, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

your use of the service; your reliance on outputs; your violation of these Terms; your violation of law or third-party rights; your content or inputs; your dealings with clients, buyers, sellers, tenants, lenders, municipalities, or counterparties; or any representation by you that Zonloty output was verified, official, or legally sufficient when it was not.

To the fullest extent permitted by law, you and Zonloty agree that any dispute arising out of or relating to the service or these Terms will be resolved on an individual basis only, and not as part of any class, consolidated, representative, mass, or private attorney general action.

If binding arbitration is enforceable in the applicable jurisdiction, the parties agree to submit disputes to final and binding arbitration rather than court, except that either party may seek temporary or preliminary injunctive relief to protect intellectual property, confidential information, or security interests.

If arbitration is unavailable or unenforceable, you agree that exclusive venue will lie in the state or federal courts located in the jurisdiction of Zonloty's principal place of business, and you consent to personal jurisdiction there.

Before production use, Zonloty should customize this section with its preferred governing law, arbitration provider, venue, and any required state-specific consumer notices.

Zonloty may suspend or terminate your access at any time, with or without notice, if Zonloty believes your use creates legal, fraud, abuse, security, operational, reputational, or compliance risk, or if you violate these Terms.

Termination does not limit any rights or remedies available to Zonloty and does not relieve you of obligations that by their nature should survive termination.

Zonloty may modify, replace, suspend, discontinue, or restrict any part of the service at any time. Zonloty may also update these Terms. Continued use after updated Terms become effective constitutes acceptance of the revised Terms.

Where required by law, Zonloty will provide notice of materially adverse changes in a commercially reasonable manner.

These Terms constitute the entire agreement between you and Zonloty regarding the service and supersede prior oral or written understandings on that subject. If any provision is found unenforceable, the remainder will remain in effect to the fullest extent permitted by law.

Zonloty's failure to enforce any provision is not a waiver. You may not assign these Terms without Zonloty's prior written consent. Zonloty may assign these Terms in connection with a financing, merger, acquisition, corporate reorganization, or sale of assets. Zonloty is not liable for delay or failure caused by events beyond reasonable control, including vendor outages, municipal site downtime, internet failures, acts of government, labor disputes, natural disasters, or force majeure events.

No online terms page can make any business "completely protected." Enforceability depends on jurisdiction, business structure, consumer-protection rules, payment flow, dispute posture, marketing claims, how assent is collected, and the facts of any particular dispute.

Zonloty should have licensed counsel review and tailor these Terms before production use, especially the governing-law, arbitration, privacy, payment, refund, business-entity, and state-law compliance provisions.
